Terms of Service

Please read these Terms of Service (“Terms”) carefully. They set out the rights, responsibilities, and legal limits governing your use of the BakeKeeper website, storefronts, and software services.

Key Terms at a Glance

  • Software platform only: BakeKeeper provides web tools for bakers. We do not bake, inspect, package, handle, or deliver food products.
  • Baker food safety & cottage law compliance: Each independent baker is solely responsible for food safety, ingredient labeling, allergen notices, and state cottage food law limits.
  • Direct transactions: Orders, pickups, and refund decisions are strictly between the Customer and the Baker.
  • Secure Stripe processing: Card payments and baker payouts are securely processed by Stripe.

The BakeKeeper Platform & Scope of Service

BakeKeeper (“we,” “us,” or “our”) operates a software-as-a-service platform that enables independent bakers and cottage food operators (“Bakers”) to publish online storefronts, schedule batch drop pre-orders, and generate kitchen bake sheets.

Technology Provider Only: BakeKeeper is not a food manufacturer, commercial kitchen, restaurant, food broker, or courier. We do not inspect, prepare, handle, package, store, or deliver any food items.

Food Safety, Cottage Food Laws & Allergen Disclaimers

Baker Regulatory & Safety Responsibilities

Bakers represent and warrant that all food products offered through their storefront comply fully with applicable municipal, county, state, and federal laws, including:

  • State Cottage Food laws, annual gross sales caps, and allowed food product categories.
  • Mandatory packaging, cottage food disclaimer notices, and required ingredient labels.
  • Food handler certifications, sanitary production standards, and local permits.

Allergens & Customer Due Diligence

Bakers are solely responsible for disclosing major allergens (including wheat, gluten, tree nuts, peanuts, eggs, milk, soy, sesame, and fish). Customers with food allergies or dietary restrictions must communicate directly with the Baker before placing an order. BakeKeeper assumes no liability for allergen cross-contamination, mislabeled ingredients, or allergic reactions.

Orders, Fulfillment, and Refund Policies

  • Independent Contract: When a customer submits an order, the legal sales agreement is strictly between the Customer and the Baker. BakeKeeper is not a party to this agreement.
  • Fulfillment & Pickups: The Baker is exclusively responsible for baking the ordered items, providing accurate pickup windows and locations, and managing any porch drop or pickup logistics.
  • Refunds & Cancellations: Refund and cancellation terms are established directly by each Baker. BakeKeeper does not mediate order disputes, guarantee product quality, or issue refunds on behalf of individual bakers.

Payment Processing & Subscriptions

Stripe Payment Processing

Payment processing for storefront orders and payouts is provided by Stripe, Inc. Bakers must connect an active Stripe account and agree to the Stripe Connected Account Agreement. Standard Stripe transaction processing fees apply to each customer transaction.

BakeKeeper SaaS Subscriptions

BakeKeeper offers subscription plans billed on a recurring monthly or annual basis. You may cancel your subscription at any time via your account dashboard. Cancellations take effect at the end of the current billing cycle.

Account Eligibility & Acceptable Use

By creating an account, you agree to the following terms:

  • You must be at least 18 years of age and legally capable of entering into binding contracts.
  • You will provide accurate, truthful, and complete business information.
  • You are solely responsible for maintaining the confidentiality of your login credentials.
  • You will not use BakeKeeper to sell prohibited, hazardous, or unlawful items, nor engage in fraudulent or deceptive business practices.
  • You will not interfere with, reverse engineer, or compromise the security of the platform.

Intellectual Property & Content Ownership

Baker Content: You retain complete ownership of your bakery name, logo, item descriptions, recipes, and photographs. You grant BakeKeeper a non-exclusive, worldwide license to host, display, and format this content solely to provide the storefront service.

BakeKeeper Property: The BakeKeeper brand, software codebase, storefront templates, workflows, and user interfaces remain the exclusive intellectual property of BakeKeeper.

Disclaimer of Warranties

THE BAKEKEEPER PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Limitation of Liability & Food Risk Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAKEKEEPER, ITS FOUNDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • FOOD-BORNE ILLNESS, ALLERGIC REACTIONS, OR CONTAMINATION RESULTING FROM BAKER PRODUCTS;
  • LOST SALES, LOST PROFITS, OR BUSINESS INTERRUPTION;
  • MISSED CUSTOMER PICKUPS OR SPOILED FOOD MERCHANDISE;
  • ANY ACTS OR OMISSIONS OF ANY BAKER OR CUSTOMER.

IN ALL CASES, OUR MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO BAKEKEEPER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

Termination & Account Closure

You may terminate your account at any time through your dashboard settings. We reserve the right to suspend or terminate accounts that violate these Terms, engage in unlawful sales, or create legal risk for the platform.

Governing Law & Changes to Terms

These Terms shall be governed by and construed in accordance with the laws of the United States. We may update these Terms periodically. Material changes will be communicated via email or dashboard notification with an updated “Last Updated” date.
